Abstract


In the past one year,the debate between the family of Huang guanyu and the management of GOME whose led by Cheng Xiao for the driver’s seat had been brought to media and social’s widely attentions. This event, also, had brought about a extensive debates by academic domain of scholars and the experts who researching company law. Meanwhile, above of those affected the problems of the controlling shareholder participate in running the listed company, and it is worth doing some research work.The essay consisted of three sections, including preface, main text and conclusion.Section I: Paper Preface. In this part, there are some introduction about the background of the thesis.Section II:Paper text..There are four chapters in this section.Chapter one:Introduce the event of scramble for the controlling of GOME.In fact, this event contains five stages,contradiction incubation,contradiction glasnost, periodic victory, compromise afer stockholders’ meeting and Chen xiao’s resign.Chapter two:Introduce the definition of controlling shareholders.The controlling shareholder is a type of dominant shareholders based on majority ownership.Chapter three:Introduce the problems of controlling shareholders participating in corporate governance.There are three problems in this chapter, for example controlling board of directors, insider trading, unfair related party transaction and so on.Chapter four:Introduce the suggestion of the legal restriction of the controlling shareholders. The suggestion consists of perfecting insider governance of listed company and improving outside surroundings of rule.SectionIII:Paper Conclusions.In this section, the author introduces the legislation shortage of the Company lawn and the Securities Law.The author tries to take some corresponding measures to protect the benefit of minority shareholders.
