Abstract


The content of this article is not simply for a private equity investment fund for abstract , conceptual analysis, but specifically targeted to our current launch of the GEM and after the financial crisis in the background under the status of the operation of private equity funds observation and evaluation , combined with the author 's internship experience in the private equity fund company , the spirit of discovery issues , ask questions , and problem-solving ideas study . Private capital as the main funders of private equity funds for the study, as a typical case to of Hangzhou Red Ding Venture case and the Shanghai exchange music case , analysis of the equity investment and illegal fund-raising dispute , general private capital involved in private equity equity fund industry in fundraising , organizational forms , corporate governance and regulatory regime of the seven issues , and each of the theoretical analysis . Finally, combing the laws and regulations on the private equity industry and government policy , at the same time around the development of the PE evaluation of the limitations and vulnerabilities of the existing legislation , regulatory proposals from the macro and micro perspectives . This paper highlights the value of private capital , to clarify the use of private capital to develop the inevitability of the need for and feasibility of China 's private equity funds and private PE trends and forms of organization and operation mechanism of the development of China's private PE , the limited partnership system system comparative study . This article is recommended by the China Securities Regulatory Commission for PE supervision of the competent authority , and elaborated the four major reason . In this paper, the path for the introduction of private capital in China and the use of private capital to the development of the organizational model of private equity investment funds , regulatory ideas as well as private investment in China 's PE market main cultivation , which described how the use of private capital to the development of China 's PE Fund . In short , private capital involved in the healthy development of the PE industry , and promote the sustained and stable development of the Chinese financial system as well as China's economic significance . The transition period of China 's VC, PE field , the endless stream of new creation of a new legal regulation to regulation , private financing problems that have long plagued China 's SMEs need to adapt to the new trend of the times with a new legal strategy to cope with .
