Abstract


Our country "company law" article one hundred and eighty-three established the company judicial dissolution system, the rules to safeguard their own lawful rights and interests for medium and small shareholders, also makes those on the management of the troubled companies can compete through judicial way to exit the market as soon as possible, avoid bigger losses. But, our country company law on the regulation of the system are sketchy, and fuzzy. Although of corporation law explanation (two) after that, the possible problems in the process of judicial practice has made some specific provision, but the applicability and operability is not strong, still a lot of the court in the trial of such cases still exist many problems in the process. Therefore, in-depth and systemic study of the company judicial dissolution system perfect and become our effort direction. This article through to the rest of the world's countries and regions the company judicial dissolution system comparative analysis, and system of judicial dissolution of company in the further refine and improve some bad advice.
