Abstract


At present, the sixth wave of mergers and acquisitions worldwide rise of global merger and acquisition activity continues to heat up and the transactions have been expanding, shows the integration between the enterprises of the world's major economies is in full swing. Chinese enterprises in the industry consolidation, the adjustment of industrial structure, government support and world environment and other factors, whether or cross-border integration between domestic companies overseas M \u0026 A, M \u0026 innovative ways, the transaction amount ranked in the world. Valuation of the target company is in the process of mergers and acquisitions, M \u0026 A transactions essence, it is largely decided to M \u0026 A success. Chinese enterprises to assess the value of M \u0026 A target company general lack of experience in mergers and acquisitions synergies pay too much premium either overestimate, deterioration or damage to property caused by mergers and acquisitions company's financial position; either underestimation of the target enterprise value and cause the other party do not want to sell , leading to the input of the preparatory work for no return, but also affect the production and operation of the M \u0026 A side and corporate reputation.
