Abstract


Generation of private equity funds and the rapid development of the internal needs of the development of China's securities market, the development of private equity funds for the construction and improvement of China's securities market is of great significance. Private equity funds in China's securities market abound, but because of the legal system becomes vacant, the unclear legal status, cause its been in the legal fringes, not only the operation of non-standard, but also due to the absence of regulation may also lead to a great system risk. The article is from the point of view of the necessity and feasibility of establishing the legal legal status of the private equity fund to demonstrate the legal legal status of the private equity fund in China's conditions have been met. Learn from foreign private equity funds legal system, to study the development of the status quo of China's private equity fund, the existence of the problem and its root causes in the development of China's private equity fund, Analysis of the Risks and Countermeasures of our private equity fund system, the future of our country to build a private equity fund legal system some of the key issues is suggested. The route through the trust our private equity funds the sun is a reasonable way, the article discussed particularly private equity fund sun. This paper uses comparative research methods and empirical research methods, attempts to demonstrate the following points: China should be legislation for private equity funds as soon as possible, to establish a legitimate legal status of the private equity fund. Only to establish a legitimate legal status of private equity funds, in order to really prevent and solve the problem, so the main legal basis in the Stock Market regulators to exercise regulatory rights law, private equity funds into the specification development track, our healthy and orderly development of securities market is of great significance. The study is divided into five chapters of the problem. The first chapter is an overview of the private equity funds, the connotation, characteristics and the legal nature of the private equity fund research on the comparative study of the legal norms of the private equity fund of the United States, Britain and other countries, and clarity of the concept of private equity funds. The second chapter is the development of the private equity fund in China, and the stage of development of China's private equity funds, operational supervision of the status quo and existing forms of research, I hope to provide a direct basis for our future private equity fund legislation. The third chapter is the necessity and feasibility of our established private equity fund legitimate legal status, mainly through the necessity and feasibility of establishing the legal status of the private equity fund legitimate research to illustrate China is now time to establish the legal status of the private equity fund conditions are ripe. The fourth chapter is the design of the legal system of China's private equity fund, risk and may lead to the regulation and supervision of private equity funds in place of the countermeasures to be taken to start research and system design, the core focus of our future private equity fund legislation , in order to provide reference for future private equity fund legislation. The fifth chapter is the sun of our private equity funds, mainly on the status of the private equity fund of our sun and innovative research and analysis, and discusses the sunshine of the main ways of cooperation and trust companies to issue trust private equity fund of private equity funds in China.
