Abstract


In recent years, with the rapid development of the domestic economy and capital markets, before the private operation of PE gradually reveal its mysterious veil, and the understanding and support of the public, to springing the potential to grow and develop. The concept of private equity funds (PE) through a private placement to raise funds, equity or quasi-equity investment fund to invest in non-listed companies. PE in the country favored faces many obstacles to development, but, after all, in the early stages of development, so it needs the time period of development. The paper first compares the scholar's research on the organizational structure of the private equity investment fund, investment projects, the distribution of income, exit mechanism. Analyzed through the comparison of the difference between private equity funds and public fund, pointed out the unique advantages of the private equity fund, in theory, paving the way for the study of the private equity investment fund, then the status quo of China's private equity funds, private equity investment fund and the operational characteristics of The focus of analysis and development experience of foreign private equity investment fund summary and learn from, and found that there are problems and challenges facing. Then to discuss the legal arrangements exist in the form of private equity investment funds, such as trusts, companies, limited partnerships, and analysis of its pros and cons, and make a limited partnership in the form most suitable for the development of the private equity investment fund, and from the location of the organization the form, operation mode, exit the mode and other aspects of building a PE mode company analysis and discussion, build a Kunpeng PE model sales company as a case analysis with the previous theoretical knowledge, the last of our private equity investment fund's risk conduct the evaluation and planning and regulatory strategy from the national level and the company level in the recommendations of the draw. The paper use in the process of writing literature research method, the method of combining theoretical study and practical analysis, comparative analysis of the method as well as the quantitative and qualitative analysis of the combined method is more reasonable to draw the papers conclusions. Discourse also draws a relatively mature foreign theory and practical experience, combined with China's actual situation, the specific regulatory proposals are norms of private equity investment funds, the healthy development of China's current private equity fund has a certain practical significance.
