Abstract


Shareholder and creditor are the most important two parties in the corporate law,but because of their different investment preferences, leading to a conflict of interest between the two. Company capital system is not only a company capital raising and operating mechanism, it also has to coordinate the interests between shareholder and creditor the important role of the conflict. Company capital system in China has undergone a legal capital system to compromise capital system of changes in capital. Company capital system is closely linked with the interests of creditors. Corporate law reform in the background, scientific and rational design and perfect the system for protecting the interests of creditor become particularly important. Based on this, this article from the analysis of the company capital system, put forward a sound system of corporate capital system to protect the interests of creditors.
