Abstract

With the deepening of China's socialist market economy, the development of China's economic impact on the world economy gradually deepening economic and trade areas as the core of the commercial legal system of the relevant legislation in the country's development and the status quo has become increasingly everyone's attention. Improve the relevant civil and commercial law, the establishment of independent commercial law departments are increasingly vocal. As a general part of commercial law and commercial legal basis, then for the future construction of commercial law and regulatory guidance plays a vital production use. On the current situation, China's commercial law theory, especially compared to a general part of the requirements of legal disciplines mature gap is still quite obvious. Commercial subject, as General of the core concepts of modern commercial law, commercial law for the entire system, establish and improve the basic plays a key role in the system is the precondition of all other commercial law. So the main issues related to business knowledge and research on all the more important. In the current study of commercial law, not only to reveal the meaning of commercial subject is ambiguous, contradictory, but also for several other commercial subject seriously study the fundamental problem is the lack, leading to theoretical study and elaboration of confusion. This article aims to discuss the subject of several basic modern business problems, analyze the current situation of commercial legal system, summarize proposed some personal views, opinions and related legislative proposals. This first chapter introduces the concept and characteristics of commercial subject. Conceptual part of the comparative analysis of traditional concepts and academia now summarize the main ideas put forward on the basis of personal views. Then through a comparison with the civil subject, analyzes and discusses the main features of business; second chapter, the emergence and development of commercial subject, first reviewed the development of traditional commercial subject, followed by an analysis of the main problems of modern enterprise object to the modern corporate personality theory describes the main suppliers of modern production and development, finally introduces modern commercial status of the subject; Chapter Shoji capacity is an emerging field of modern commercial legal concept, considerable attention by theorists, this chapter will discuss Shoji capacity related issues, introduced the concept of commercial characteristics and limits the ability to analyze the ability of the commercial system in our country's development; fourth chapter, the main supplier to strengthen the principle of commercial law as a fundamental principle, subject to vigorously ensure that the body as a perfect fit of Law and Business organizational body to existence and development. This chapter introduces the principles of commercial subject strengthening; fifth chapter, the analysis of the business issues related to the subject, based on the quotient of this chapter will discuss some of the main issues in the legislation system and make a personal recommendation.
