Abstract


The stock market is the place of the right to use both the supply and demand of funds trading capital . Fully efficient market should be full disclosure of information , there is no information asymmetry market . To make the stock market effectively , each investor must ensure equitable access to information rights . Insider trading , insider information personnel engaged in securities transactions illegal use of insider information , which has always been regarded as the securities market ills , not only a serious violation of the securities market \normal market order , and serious damage to the legitimate rights and interests of investors , the issuing company and related intermediaries and investor confidence , and even cause great harm to the securities market and even the national economy as a whole . As awareness of the dangers of insider trading in the stock market continue to strengthen , many countries have clear legal regulation of insider trading is an important guarantee of the healthy and smooth operation of the securities market , and have legislation to regulate system . Market openness is not enough , inadequate laws and regulations , ineffective regulation makes our country is no longer the pure land of insider trading , securities market and the national economy and harm is evident . In this paper, by analyzing the constituent elements of insider trading , to discuss the defects and characteristics of China's securities market and insider trading , the final proposed legal regulation proposals to preventing and prohibiting insider trading , to protect the healthy and stable development of China's socialist market economy .
