Abstract


According to“Company Law”,“Initial Public Offering and Listing on the GEM Interim Measures”and other law and regulations, this legal report firstly investigated Zhejiang Hui Yuan Co., Ltd from aspects of company’s historical evolution, corporate governance, condition of assets, major contracts and so on. Secondly, the report analyzed legal obstacles faced by Zhejiang Hui Yuan Co., Ltd when it proposed IPO and Listing on the GEM. After closer analysis, it found that there existed significant deficiencies in corporate governance, financing and contracts which probably become the legal obstacles of IPO and listing on the GEM. Finally, the report put forward concrete solutions to these legal obstacles. At the same time, combined with the feedback of the first 28 listed companies on GEM which made by the China Securities Regulatory Commission, this report raised practical proposals of the future operation and development of Zhejiang Hui Yuan Co., Ltd.
