Abstract


Thinking of the management and financial governance mechanisms there is a strong logical correlation , fusion of this management thinking financial governance mechanisms will be more complete and efficient . In this paper, based on this study demonstrates the author 's point of view , in the course of the study to the case . The author in order to fully mobilize the enthusiasm of the main corporate stakeholders and their interests throughout the text to maximize the main line . First, the core of the financial governance mechanisms - Financial Power Allocation system , concluded by analyzing the : Modern Corporate Property Source has changed corporate shareholders and creditors of financial capital , human capital managers and employees , suppliers and the customer market capitalization , can be used as the source of the corporate Property . Then proposed Financial Power Allocation based on the ideas of the management and financial governance mechanisms should be in order to fully mobilize the enthusiasm of the related entities and to achieve its interests to maximize the objective , on this basis , we use the system of financial governance mechanisms research . Financial governance mechanisms into financial decision-making mechanisms , financial incentives and financial constraints mechanism . Financial decision-making mechanism based on the management of financial decision-making mechanism , and reasons for the problems of the current corporate financial decision-making mechanism , from the point of view of the management , for the first time raised significant financial decision-making system of public hearings within the enterprise , and proposed to build other recommendations to improve financial decision support system , and improve the structure of the board members , improve the quality and capacity of the decision-making body and strengthen the body involved in the financial decisions of awareness . Financial incentives and financial constraint mechanism , I reference the principal-agent theory , starting from the enterprise itself , designed for enterprises of different stakeholders , different incentives , and proposed to build a mechanism based on the management of financial incentives and financial constraints other measures , that incentive strategy diversification, the establishment of a culture of human enterprises , prompting operators compensation plans and performance evaluation to strengthen monitoring motivation and ability involved in surveillance and improve the internal management control system .
