Abstract


This paper describes a person shareholders limited liability system history, analysis of one-man company 's legislative situation in Western countries , comparative analysis of a person 's legislative process , background, and China's new \Focus on analyzing new \Legal personality which system is the presumption of abuse for piercing the corporate veil regime is a major innovation . Meanwhile , through the principle of limited liability and the pros and cons of introduction, analysis and demonstration of a person to a limited liability company established in the core and foundation of the principle of responsibility model is reasonable. Given a person more prone to company shareholders phenomenon of abuse of corporate personality , strengthen and focus a person Company Limited exceptions apply legal research has important significance.
