Abstract


Venture capital investors to raise venture capital in certain ways, and then put it into a vast reservoir of danger of failure, rapid growth equity investments in unlisted companies, enterprises, and in some way involved in the investment business management and operational expectations by achieving a high growth rate, and ultimately obtained through the transfer of the right to exit the special forms of investment income of high and long-term capital appreciation. Forms of capital as a high-risk, high-yield, risk investment for economic development plays an important role in promoting the development of venture capital is conducive to the commercialization of scientific and technological achievements, industrialization, and to promote the Industrial Structure, help to improve the allocation of resources efficiency, thereby enhancing economic efficiency. Venture capital began to rise in the United States in the late 19th century, and the subsequent rapid development in the world. Venture capital in China started in 1985, and after 1996 gradually become a development hot spot. In accordance with international practice, the venture capital company and trust and limited partnership form of three tissues. The three forms of organization in the incentive and restraint mechanisms, operating costs and financing functions in four areas, each with its own different characteristics. Combined with the characteristics of the venture capital limited partnership form of organization to better fit the development of risk investment, it absorbs the advantages of limited liability system, get rid of the disadvantages of a purely SCO stable than implicit partnership, flexible than company system, it The unique design caters to the needs of the high-tech enterprises and the growth of SMEs, and of significant value to the development of the venture capital industry. Practice from the international point of view, the more developed venture capital industry in the world, several countries use more venture capital institutions are the form of a limited partnership. Partnership Enterprise Law \After the entry into force of the new \a lot of factors that hinder the development of venture capital limited partnership, should further improve the legal system, optimizing the legal environment, improve the supporting system and policies to provide a good environment for the further development of China's venture capital. This paper is divided into four chapters. The first chapter briefly discusses the concept of venture capital, the characteristics of the role as well as the historical development. The second chapter analyzes the characteristics of the three organizational form of venture capital and compared, concluded that the limited partnership form of organization is more suitable for the development of venture capital. The third chapter analyzes the organizational form of the status quo of China's venture capital and hinder the development of a limited partnership. Chapter hinder the foregoing analysis, legal and policy recommendations for the development of China's venture capital.
