Abstract


Misrepresentation is a tepical illegal behavior in the securities market.there is no question that misrepresentation is harmfulness.And this kind of fraud not only violate“the Principle of Sangong”but also diminish the credibility of public information in the securities market .This fraud made a serious badly influence to the value of the law in the securites market.Civil liability of misrepresention is one of all civil liability,and has its own characters.The paper begins with summary of misrepresentation,and following analysis in the origin of mispresentation . Some of instances are cited to analyse the legal requirement about misrepresentation ,the purpose of research is to find a direction to guide us how to protect investor from illegal damage.This topic of researh is old subject ,and also has contemporary significance.An abundance of law case arised from the market recently in our country demonstrate that the importance of this research.The points of this topic are the analysis about the duty of subject ,objective behavior and doctrine of liability fixation etc.As a pincipal, protecting the investor in the securities market,it is significance to grasp the theory behind the law requiremnt.
