Explore RTO model has two aspects practical significance : first , compared with the IPO , RTO companies can circumvent the IPO must go through the cumbersome procedures which RTO is more convenient than the IPO , faster, more with controllable ; Second , China 's private enterprises to IPO extremely difficult , therefore , more private enterprises to put RTO as access to capital markets financing the fast lane. Therefore, this paper first by acquisition theory , combined with the characteristics of the development of private enterprises , private enterprises through a large number of cases of domestic RTO analysis to extract the five kinds of practical guiding significance RTO mode , and for different the RTO mode corresponding comparative analysis, to explore the scope thereof and the advantages and disadvantages ; RTO to private enterprise the problems in the process of thinking , to the adoption of the adjustment of the role of state functions , thereby eliminating or reducing the RTO existence of negative phenomena . In research methods , this paper uses theory and case study analysis of the combination : the text of the RTO basic theory involved succinctly described, in order to facilitate academic discussion ; RTO model for refining a variety of methods are used integrated use , such as induction , deduction , analogy , etc. ; case for text financial data is involved in using the corresponding financial analysis , such as trends in law, comparative law. Based on the above research methods, data analysis through the large number of cases concluded in order to achieve the following objectives: 1 ) by domestic and abroad RTO theory and practice of typical enterprise RTO analysis , combined with the characteristics of private enterprises in the industry to design private RTO a suitable mode of acquisition ; 2 ) use of modern enterprise management methods to assess the effect on the RTO , thus contributing to the acquisition of private companies to avoid pitfalls and reduce the cost of acquisition ; 3 ) through this master's thesis writing, to the private RTO enterprises domestic situation and problems to make constructive conclusion and proposed RTO specific operator associated constructive comments.
