Abstract


This article mainly centers on the OTC market access system, and put emphasis on the deep discussion of company’s access system. Specially under the background that the construction of National OTC Market (Non-listed companies’stock exchange market) has become the next development target of national capital market, the study on access system has the more practical significance. This article has used the legislative experience of OTC markets of other countries of the world for reference, and summarized the questions of extant OTC market of our country.Then according to the characteristic of our country’s OTC market, I have put forward own view on the company’s access system of National OTC Market, which includes the standard condition, procedure, supervision and so on.First part, It mainly introduced that the background of selected topic, research status and research methods; Second part, It first studied on the definition of OTC mark, next introduced the market access system’s concept,content and taken company’s access system as the key study object, finally elaborated our country’s legislative situation as well as the access system’s legal principle; The third part, It mainly comparatively analyzed the experience of company’s access standard in USA, Japan, Taiwan where the OTC markets are developed; The fourth part has studied the present exploration situation and existence questions of our country’s OTC market access system; The fifth part, It is also the key part of this article, proposes legislative suggestions about company’s access system including the legislative value, the legislative principle, conditions which adopts the quantitative standard and the qualitative standard and further clears about that which are the market’s object company, neutral verification organization, appropriate examination system, concrete procedure. The last part is a summary of this article.
