Abstract


Small and Medium enterprises financing problem can be frequently seen in the newspapers and the news media. Extrinsic source of venture capital financing is particular concern. Financing and investment needs to bring a large number of interests of all parties involved in the game and collision.But China’s legal environment and business legal environment for the current venture equity investments are in early stages of development. Complex equity investment and financing transactions, as China’s capital market thing, its further flourishing requires constant practice and exploration venture in the country to promote the improvement of relevant legislation and progress of the same time, the parties still need to participate in joint venture equity investment and financing of legal knowledge and practice gained popularity on the road to go very far.Based on the above background and practical needs, the author of this article from the small and medium enterprises, venture capital, the definition of legal risk, combined with venture capital business model, based on process-based description of venture capital, the investment process is divided into an invitation to the solicitation phase, Parties before the consultation phase, contracting phase, and the compliance phase, and then combined with the market practice of various forms of transactions that may arise, to analyze how to identify, evaluate the corresponding legal risks, and provide prevention, control, address management program.
