Abstract


Multi-level capital market due to meet different market players diversified investment and financing needs, to better achieve the optimal allocation of capital resources and therefore become a modern developed capital market is an important landmark. As a multi-level capital market on the basis of a complete system, runs well OTC market is building a multi-level capital market is the key. Today, the major developed economies such as the U.S., Japan, UK, etc., have established a more mature functioning OTC market, for its economic development provides a good protection and promotion mechanisms. From the budding of the OTC market and the initial stage to the OTC replaced by a stock exchange, stock exchange to coexist with development, to be banned and the ban until it is again today, a limited degree of liberalization and the gradual development experience a tortuous development process. At present, China's OTC market is still in the exploratory stage before the trip, have not yet established by the national and regional OTC markets together constitute a unified system. From the status quo in terms of economic development, building a unified system of the OTC market and the specific conditions of the legal system has been relatively mature, regulators and the market players will be the main driver of this trend. Based on this, we use historical research, comparative studies and empirical research are three ways, through the foreign mature OTC market analysis and learn from experience, combined with our current development of the OTC market, raised on China's OTC market patterns and specific legal framework to build some of the ideas and suggestions. This paper is divided into four parts, the main contents are summarized as follows: The first part of the historical evolution of the OTC market.
