Abstract

Along with the reform of the economic system in China in the last century, the nonprofit organization has also been considerable development. Nonprofit organizations play a positive role in the maintenance of social justice, protection of vulnerable groups, and promote the harmonious development of all. However, the management is in chaos, corruption and non-profit organizations such as the frequent failure phenomenon, the objective requirements of the development of the non-profit organization regulation. The lack of the governance structure of the non-profit organization with imperfect failure occurred mainly due to non-profit organizations, and thus, improve the governance structure of the existing non-profit organizations and organizations to solve the existing problem and to promote its role play has important significance. This article is divided into six parts. The introductory part pointed out that the intention of writing of this article, that the depth of the existing problems of the governance structure of China's non-profit organization as well as suggestions for improvement, not only conducive to better play the role of non-profit organizations in the transformation of society, but also help to further clarify the government market, non-profit organizations of the three boundaries in the social construction, promote the development of a socialist harmonious society. The first part defines the connotation and denotation of the non-profit organization, clear object of this paper. Market failure, government failure, third party management, volunteer theory explicitly non-profit organization involved in the theoretical basis of social governance, and stressed the need for development of non-profit organizations in the Perspective of Economic Law. The second part of the study the nonprofit organization's governance structure, the first to distinguish between the concept of governance, governance of non-profit organizations, non-profit organization governance structure, clear governance structures of non-profit organizations including the separation of powers and checks and balances within the organization, including outside the organization supervision. And by the separation of ownership and management, commission agent, stakeholder theory, the theoretical basis of the analysis of the non-profit organization governance. Combined with the development of the current law and practice of non-profit organizations, and analysis of the status quo of the nonprofit organization's governance structure and its shortcomings. The third part is a comparative study of the governance structure of the non-profit organization. By analyzing the experience of the United States, the United Kingdom, Germany and Japan in the governance structure of the non-profit organization, the reference of the advanced experience of other countries to improve the governance structure of China's non-profit organization. The fourth part of the basis of analysis of existing deficiencies and the advanced experience of other countries, put forward the basic principles and specific measures to improve the governance structure of China's non-profit organization recommended. The basic principles should be run through the concrete measures to be perfect the governance structure of the non-profit organizations, and from both internal management and external oversight. The conclusion that the innovation of this paper and the lack of existing theory and pointed out the limitations of the study of the governance structure of the non-profit organization. Proposed should be based on full respect for the non-profit organization independent status, around organizational development to strengthen research and promotion of non-profit organizations to play a role in social development.
