Abstract


The Corporation Deadlock refers to a company’s effective movement failure,all businesses of the company would still stay paralyzed,which can be caused by the conflict or contradiction of interest between different shareholders or corporate management personnel. The board or shareholders could not manage to hold any conference due to the rejection of their business partners. The corporate deadlock is obvious day by day in the operation of the company,which not only endangers the benefits of the company and the stockholders,but also infects the other parties, who have related benefits. Therefore,to find the way to resolve the problem, the corporate deadlock, is an important topic. The new emendatory Law of Corporation has the content of the system of the company judicatory disbandment, which fills up the bank legislation about the corporation deadlock ,and have given the stockholders have nothing to do when there is a company logjam , a way to get away from the corporation . Although, it is little principle when there is only one article in the law. That makes the judicatory organization facing a lot of difficulties when they exercise. Therefore, this is another motivation of the deep study for the system of company judicatory disbandment. This article try to deep research the system of company judicatory of theory and practice, which can have a positive influence in resolving corporation deadlock . The corporation autonomy is the basic principle in the traditional company law, though we can not resolve the company deadlock if we insist on the company autonomy. So outside force intervention is the necessary choice. Judicature intervention company deadlock has been holded out by company law theory, also many countries’company legislation have constituted the judicature remedy system of company deadlock. Compare with the legislation and the judicatory succor to the corporation deadlock overseas. The developed countries have established self-contained law about corporation and have abundance judicatory experience. We can study more advanced theory and judicatory experience through this introduction. At last i analyses No.183 Law of Corporation about break up the corporate deadlock, which search for the lawmaking original idea. On this basic research I have give some advise in perfecting our resolving corporation deadlock.
