Abstract


Management buyout ( MBO ) as a capital operation of tools and instruments , was introduced in China in the late 1990s . MBO provides a new way of thinking and try to solve the ownership of private enterprises regression , reducing the principal-agent relationship as well as state-owned assets in the field of competitive launched a strategic issue . But in view of which stage of economic development and market institutional environment , significant differences exist with countries with developed capital markets , management buyout of showing a certain Chinese characteristics , there are also phenomena such as the loss of state assets . In the last year , management buy-outs along with a \This article tries from both theoretical and practical perspectives on management buyouts research and analysis. First of all , through the review of the economic theory and description to resolve the theoretical support based on management buyouts ; Secondly, on the basis of the large number of cases and data collection on the domestic implementation of the management buy-out an empirical analysis and a preliminary summary and induction ; Finally , the use of comparative analysis different approaches to contrast the difference at home and abroad in the MBO practice presented . The basis of the above analysis and research , the authors believe that the MBO as a kind of capital operation tools , from the legal , marketing, and other aspects of the system to regulate and restrain the management buyout healthy development for China's enterprise reform explore new ways .
